A disciplined, criteria-driven system ensures incentives are earned through investment, performance and national economic impact.
Colombo Port City operates under a defined, eligibility-based system for granting tax exemptions and investment incentives. Registration within the Special Economic Zone (SEZ) does not automatically entitle a business to incentives. Exemptions are granted only to designated Businesses of Strategic Importance (BSIs) that meet prescribed criteria and follow the statutory approval process.
Purpose of Incentives
Tax incentives are used globally to attract investment, enhance competitiveness and stimulate economic activity. Their value to broader economic outcomes they generate, including employment, skills development, technology transfer, foreign exchange inflows and sustained business activity.
Evolution of the Regulatory Framework
The BSI incentive framework has developed through successive regulations. The Colombo Port City (Guidelines on the Grant of Exemptions or Incentives to Businesses of Strategic Importance) Regulations No. 1 of 2025 replaced the 2023 BSI regulations, which expired after a defined 24-month period. The 2025 BSI Regulations set out the current criteria, processes and conditions governing BSI designation and incentives.
The Colombo Port City Economic Commission (CPCEC) administers this framework, facilitating investment while ensuring compliance with applicable legislation and maintaining global competitiveness. Operating within the SEZ is distinct from qualifying for BSI designation; incentives require meeting the prescribed criteria and obtaining approval through the statutory process.
Investment and Economic Activity
Colombo Port City spans 269 hectares of reclaimed land across 74 parcels designated for residential, commercial, hospitality and leisure uses. Approximately USD 1.4 billion has been invested in land reclamation and horizontal infrastructure.
More than 180 companies have registered within the SEZ, supporting 9,871 direct jobs. In 2024, the CPCEC identified three Primary BSIs undertaking major development projects, including marina front residential developments and a mixed-use project near Central Park with combined land and development costs of LKR 125 billion and expected foreign inflows of USD 262 million over five years. The marina under construction will accommodate around 200 vessels.
The SEZ’s contribution should be assessed through realised FDI, foreign currency generation, employment, business activity and linkages with local suppliers. These economic benefits must be considered alongside the fiscal implications of incentives granted.
Legal Basis for Eligibility and Designation
Investment incentives in Colombo Port City are governed by the Colombo Port City Economic Commission Act, No. 11 of 2021, as amended, and regulations and orders issued under the Act. The law distinguishes between authorisation to operate in the SEZ and designation as a Primary or Secondary BSI.
Under Section 53, the CPCEC recommends eligible businesses for designation and incentives through the prescribed Government process, culminating in a Cabinet-approved Gazette Order. Incentives therefore depend on the business category, applicable regulations and the terms of the relevant Order, and not on SEZ registration alone.
Governance, Accountability and Performance
The governance framework comprising the 2021 Act, the 2026 Amendment and the 2025 Regulations, sets out eligibility criteria, designation procedures, incentive terms and oversight mechanisms. The 2026 Amendment strengthens the statutory basis for investment thresholds, job creation criteria and performance evaluation.
Monitoring is tied to the commitments, conditions, commencement dates and expiry provisions specified in each designation and Gazette Order. Assertions regarding monitoring practices, annual cost-benefit reporting or clawback mechanisms should be made only where supported by law or the relevant Order.
A multi-agency coordination mechanism involving the CPCEC, Financial Intelligence Unit, Sri Lanka CERT and ICTA, with the State Intelligence Service participating where relevant, supports information-sharing and the management of identified emerging risks. This strengthens regulatory oversight and supports a secure and well-governed investment environment.
Regulatory Certainty and Investor Confidence
A predictable environment requires clear eligibility criteria, a defined designation process and transparent conditions attached to approved incentives. CPCEC Act Sections 52 and 53 read with the 2025 BSI Regulations establish the complete current framework.
Fiscal accountability and investor certainty are complementary. A rules-based, time-bound, time bound and transparent system enables investors to understand the conditions and duration of incentives while allowing authorities to assess compliance against statutory requirements.
Economic Impact and National Benefit
Colombo Port City is designed to translate investment into tangible economic benefits for Sri Lanka, such as employment creation, workforce upskilling, increased foreign currency liquidity, knowledge transfer, new business opportunities and stronger domestic linkages.
By offering clear criteria, regulatory clarity, accountable oversight, and streamlined investment facilitation, CPCEC supports a competitive business environment that attracts strategic investment and drives long-term national growth.
In summary, Colombo Port City’s incentive framework is designed to balance investor facilitation with fiscal responsibility. By grounding exemptions in clear criteria, statutory processes and measurable performance, the system ensures that incentives are granted where they deliver tangible economic value. This disciplined approach supports both investor confidence and national development objectives.
